These Terms of Use ("Terms") govern access to and use of the websites, applications, dashboards, APIs, wallet-authenticated experiences, community features, paid pack features, virtual item features and related services operated under the GNF / Government Not Found brand (collectively, the "Platform"). The Platform is operated by Loop Mint LLC, a Limited Liability Company (LLC) under New Mexico jurisdiction ("GNF," "Company," "we," "us," or "our").
By accessing the Platform, connecting a wallet, creating an account, purchasing or using Burn, packs, fragments, boxes, boosters, raffle entries, task rewards, NFTs, subscriptions, or any other Platform feature, you agree to these Terms. If you do not agree, do not use the Platform.
Key Definitions
"Account" means a user profile, wallet-authenticated session or other access credential used to access the Platform.
"Burn" means GNF's internal, non-transferable, off-chain utility balance used only inside the Platform for permitted Platform activities. Burn is not money, not a cryptocurrency, not a token, not legal tender, not stored value, not redeemable for fiat or crypto and has no external market.
"Digital Asset" means any token, NFT, wallet address, smart-contract position, on-chain record, cryptographic asset or similar item.
"FIREWALL" means GNF's on-chain floor-enforcement protocol for compatible NFT collections. For clarity, FIREWALL is different from any Platform section, game, box, story or feature that may use similar wording.
"Protected Collection" means an NFT collection that has enabled, integrated with, subscribed to, or otherwise adopted FIREWALL or related GNF protection features.
"User Content" means text, images, wallet addresses, profile data, task submissions, social handles, feedback, votes, messages, links, files and other content submitted by users.
Eligibility
You may use the Platform only if you are at least 18 years old or the age of majority in your jurisdiction, whichever is higher and you have legal capacity to enter these Terms.
You may not use the Platform if you are located in, ordinarily resident in, organized in or acting on behalf of a person or entity located in a jurisdiction subject to comprehensive sanctions or embargoes, including any jurisdiction restricted under applicable sanctions laws. You may not use the Platform if you are on any sanctions list, including lists administered by the U.S. Office of Foreign Assets Control ("OFAC"), or if your use would violate applicable law.
We may block, restrict, suspend or terminate access based on jurisdiction, sanctions, compliance risk, suspected fraud, suspected market abuse, prohibited activity or legal advice.
No Investment, Financial, Legal, Tax or Trading Advice.
The Platform is provided for product access, community participation, NFT utility and software functionality. Nothing on the Platform is investment advice, financial advice, legal advice, tax advice, accounting advice, trading advice or a recommendation to buy, sell, hold, list, delist, vote, burn, mint, transfer, subscribe to or interact with any Digital Asset.
GNF does not promise profits, price appreciation, returns, liquidity, yield, income, resale value, token value, NFT value, floor value or market performance. Any statements about product mechanics, protocol design, subscriptions, buybacks, token plans, roadmaps or future features are descriptive only and may change or never occur.
You are solely responsible for your decisions, wallet activity, taxes, compliance obligations and losses.
No Securities Offering; No Token Rights
Unless a separate written agreement signed by GNF expressly says otherwise, your use of the Platform does not give you equity, debt, revenue share, governance rights, token allocation rights, profit rights, voting rights in GNF as a company, dividend rights, redemption rights, liquidation rights or any right to receive future tokens.
The GNF token is not live as of the effective date of these Terms. Any future token, if ever launched, may be issued by a separate entity, may be subject to eligibility restrictions, vesting, lockups, compliance checks, geographic restrictions and separate terms and may never be launched. Nothing in these Terms is a public token sale, securities offering, solicitation or offer to sell securities.
Wallets, Blockchain Risks and Self-Custody
The Platform may allow you to connect a Solana wallet or other supported wallet. You are responsible for safeguarding your wallet, private keys, seed phrases, devices, passwords, browser extensions and signing activity. GNF will never ask for your seed phrase.
Blockchain transactions are generally irreversible. Smart contracts, wallets, bridges, marketplaces, RPC providers, indexers, APIs or third-party integrations may fail, contain bugs, be exploited, become unavailable, produce inaccurate data or change without notice. Network fees, congestion, slippage, listing behavior, token standards, marketplace behavior and protocol behavior may affect your experience.
GNF does not control public blockchains, third-party wallets, marketplaces, RPC nodes, indexers, block explorers or unaffiliated smart contracts. GNF is not responsible for losses caused by your wallet, third-party services, blockchain failures, oracle failures, marketplace failures, malicious contracts, phishing, scams, compromised devices, transaction errors or user mistakes.
FIREWALL Protocol Consent and Risk Disclosure
If you interact with a Protected Collection, list an NFT from a Protected Collection, vote in a FIREWALL process, claim rewards, subscribe a collection or otherwise interact with FIREWALL, you acknowledge and agree that:
FIREWALL may enforce collection-level rules encoded through protocol logic and related interfaces.
A listing below a community-defined floor or applicable threshold may trigger detection, freezing, voting, burn, rebirth, redistribution, release, delisting workflow or other protocol outcomes.
Protocol outcomes may be automated, irreversible, economically adverse, disputed by users, delayed by network conditions or dependent on third-party infrastructure.
GNF may not be able to reverse an on-chain action, restore a burned asset, recover a lost asset, undo a vote or compensate you for losses.
Floor values, thresholds, voting eligibility, quorum, timing and reward logic may differ by collection and may change through protocol, collection or governance rules.
You are responsible for understanding a Protected Collection's active rules before listing, voting, transferring, subscribing or interacting.
GNF does not guarantee that FIREWALL will prevent floor decreases, protect market prices, preserve liquidity, prevent losses, prevent manipulation, prevent fraud or produce any particular economic outcome. FIREWALL is a protocol feature, not insurance, investment protection, asset management, price control or market-making.
Accounts and Authentication
You may need to connect a wallet, sign a message, provide a social account, provide an email address, complete tasks or create an Account to access some features. You agree to provide accurate information and keep it updated.
We may refuse, suspend, restrict or terminate any Account, wallet, address, device, IP address, collection, subscription, task, reward or transaction if we believe it violates these Terms, creates legal or security risk, is abusive, fraudulent, manipulative, automated, sanctioned, or harmful or if we are required or advised to do so by law, platform rules, third-party provider requirements or counsel.
You are responsible for all activity associated with your Account and wallet.
Burn, Points, Fragments, Boxes, Boosters, Packs, Rewards and Virtual Items
Burn, points, fragments, boxes, boosters, pack progress, raffle entries, task rewards, eligibility statuses, leader paths and similar Platform items are limited, revocable, non-exclusive licenses to use Platform functionality. They are not property, money, securities, commodities, cryptocurrency, financial instruments, stored value or legal tender.
Unless GNF expressly allows otherwise in writing:
Burn and other off-chain Platform balances are non-transferable.
Burn and other off-chain Platform balances cannot be sold, exchanged, redeemed, withdrawn, refunded, converted to fiat, converted to crypto or transferred outside the Platform.
GNF may modify, rebalance, expire, restrict, correct, revoke or discontinue Burn, rewards, tasks, packs, fragments, boxes, boosters, raffles, store items and Platform mechanics at any time.
GNF may reverse, withhold or claw back balances or rewards caused by bugs, exploits, fraud, botting, Sybil activity, prohibited conduct, mistaken credits, abuse or legal risk.
Displayed quantities, rarity, stock counts, serials, timers, odds or availability may be approximate, delayed or subject to correction.
Purchasing or earning Burn, packs, fragments, rewards or other Platform items does not guarantee that you will receive any NFT, token, financial return, market value, rarity outcome, future benefit or continued access.
Purchases, Fees, Subscriptions and Refunds.
Some Platform features may require payment, subscription fees, network fees, marketplace fees, taxes or third-party processor fees. Prices, discounts, tiers, subscription features and availability may change.
Unless required by law or expressly stated in a separate written refund policy, all purchases, subscriptions, paid packs, Burn purchases, premium features, NFT-related purchases and digital item purchases are final, non-refundable and non-cancellable once delivered, credited, minted, opened, consumed, used or otherwise made available.
If you subscribe a collection to FIREWALL or related services, additional order forms, service terms, collection onboarding terms, technical integration terms or enterprise agreements may apply. If those terms conflict with these Terms, the signed order form or enterprise agreement controls only for that specific service.
You are responsible for all taxes, duties, reporting, withholding and filings related to your activity.
Raffles, Tasks, Referrals, Promotions and Community Programs
Tasks, raffles, referral programs, social campaigns, contests, quests, mystery boxes, stories, codes or promotions may be subject to additional rules. We may cancel, modify, disqualify, withhold or reverse rewards if we believe there is fraud, automation, collusion, Sybil activity, duplicate accounts, fake engagement, chargebacks, abuse, prohibited jurisdiction participation, platform policy violations or legal risk.
Participation in a promotion does not guarantee reward, NFT allocation, token allocation, future access or financial value.
Where legally required, promotions may be void in certain jurisdictions, limited to eligible users or subject to no-purchase alternatives.
Prohibited Conduct
You agree not to:
Violate any law, regulation, sanctions rule, tax rule, consumer protection rule, platform rule, marketplace rule or third-party right.
Use the Platform from a restricted jurisdiction or on behalf of a sanctioned person.
Use bots, scripts, farms, Sybil accounts, fake accounts, VPN abuse, device spoofing, referral abuse, task abuse, wash trading, marketplace manipulation, vote manipulation, collusion or exploitative behavior.
Attempt to bypass eligibility, access, rate limit, security, wallet, KYC, geofence, sanctions or anti-fraud controls.
Upload malicious code, attempt unauthorized access, scan, attack, overload, scrape, reverse engineer or interfere with the Platform.
Misrepresent identity, affiliation, wallet ownership, collection ownership, investor status, accreditation or authority.
Harass, threaten, abuse, defame, dox, impersonate or target others.
Submit unlawful, infringing, deceptive, pornographic, exploitative, hateful, violent or harmful content.
Use the Platform for money laundering, terrorist financing, fraud, ransomware, phishing, stolen assets, stolen credentials, sanctions evasion, illegal gambling, illegal securities activity or other illicit activity.
Sell, rent, transfer, sublicense or commercially exploit Platform access except as expressly permitted.
We may investigate and take any action we deem appropriate, including suspension, termination, reward forfeiture, reporting to law enforcement or cooperation with regulators, marketplaces, wallet providers and infrastructure providers.
User Content
You retain ownership of your User Content, subject to the rights you grant here. By submitting User Content, you grant GNF a worldwide, royalty-free, sublicensable, transferable license to host, store, reproduce, display, publish, distribute, adapt, analyze and use that content to operate, improve, market, secure, enforce and provide the Platform.
You represent that you have all rights needed to submit User Content and that it does not violate law or third-party rights.
We may remove, hide, edit, restrict or refuse User Content at any time.
Intellectual Property
The Platform, GNF brand, Government Not Found brand, logos, designs, software, interfaces, text, images, artwork, lore, mechanics, databases, smart-contract code owned by GNF, documentation and related materials are owned by GNF or its licensors and are protected by intellectual property laws.
You receive only a limited, revocable, non-exclusive, non-transferable license to access and use the Platform as permitted by these Terms. No rights are granted except as expressly stated.
NFT ownership does not automatically grant intellectual property rights in GNF's brand, software, Platform, protocol or artwork unless separate NFT license terms expressly provide those rights.
Third-Party Services
The Platform may rely on or link to wallets, marketplaces, blockchains, payment processors, analytics providers, hosting providers, social platforms, APIs, indexers or other third-party services. Your use of third-party services is governed by their own terms and policies.
GNF does not control and is not responsible for third-party services, outages, fees, terms, data practices, decisions, contract changes, delistings, sanctions controls, wallet behavior, marketplace behavior or losses.
Beta Features, Roadmaps and Changes
The Platform may include experimental, beta, pre-release, mainnet, testnet, pilot or unfinished features. They may be unstable, inaccurate, unavailable, insecure, modified, discontinued or subject to additional terms.
Roadmaps, token plans, subscription plans, collection targets, milestones, feature descriptions and timelines are non-binding. We may change, delay, cancel or discontinue any feature or plan at any time.
Compliance, Investigations and Cooperation
We may collect and review wallet addresses, transaction hashes, IP addresses, device data, account data, payment data, task activity, referral data, marketplace data, sanctions-screening results and other information to prevent fraud, comply with law, enforce these Terms, respond to legal process and protect the Platform.
We may disclose information to regulators, law enforcement, courts, counsel, auditors, payment processors, sanctions-screening providers, infrastructure providers, marketplaces, wallet providers and other third parties where we believe disclosure is appropriate.
No Warranties
The Platform is provided "as is" and "as available." To the fullest extent permitted by law, GNF disclaims all warranties, express, implied, statutory or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, security, error-free operation, uninterrupted access and suitability for any financial or commercial purpose.
We do not warrant that the Platform, FIREWALL, any Digital Asset, any collection, any vote, any listing, any marketplace integration, any wallet connection, any reward or any transaction will work as expected, remain available, remain secure, produce intended results or be free from bugs, exploits or losses.
Limitation of Liability
To the fullest extent permitted by law, GNF and its founders, members, managers, officers, directors, employees, contractors, agents, affiliates, service providers and licensors will not be liable for indirect, incidental, consequential, special, exemplary, punitive, enhanced or lost-profit damages; loss of value; loss of Digital Assets; lost opportunities; loss of goodwill; data loss; business interruption; trading losses; tax liabilities; regulatory losses; blockchain losses; wallet compromise; unauthorized access; or third-party service failures.
To the fullest extent permitted by law, GNF's total liability for any claim arising out of or relating to the Platform or these Terms will not exceed the greater of (a) the amount you paid directly to GNF for the specific Platform feature giving rise to the claim during the three months before the claim arose or (b) USD $100.
Some jurisdictions do not allow certain limitations. In those jurisdictions, liability is limited to the maximum extent permitted by law.
Indemnification
You agree to defend, indemnify, and hold harmless GNF and its founders, members, managers, officers, directors, employees, contractors, agents, affiliates, service providers and licensors from and against all claims, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
your use of the Platform;
your wallet activity or Digital Assets;
your User Content;
your violation of these Terms;
your violation of law or third-party rights;
your tax, reporting or compliance obligations;
your participation in FIREWALL, Protected Collections, tasks, referrals, promotions or rewards;
your fraud, negligence, misconduct, misrepresentation or prohibited conduct.
Dispute Resolution; Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. It may require you to arbitrate disputes and limit the manner in which you can seek relief.
Before filing a claim, you agree to first contact us at: inquiries@officialgnf.com with your name, wallet address, contact information, a description of the dispute and requested relief. We will attempt to resolve the dispute informally for 30 days.
Except for claims that may be brought in small claims court and claims for injunctive or equitable relief relating to intellectual property, security, unauthorized access or misuse of the Platform, any dispute arising out of or relating to these Terms or the Platform will be resolved by binding arbitration. The arbitration will be conducted in English by one arbitrator.
You and GNF waive the right to a jury trial and agree that disputes will be brought only on an individual basis. You may not bring or participate in a class action, collective action, private attorney general action, representative action, or consolidated proceeding against GNF.
If this arbitration clause is unenforceable in your jurisdiction, disputes will be resolved in the courts specified by GNF.
